a. Memorandum of Agreement (MOA) between the Georgia Department of Education (GaDOE) and the DeKalb County School District (DCSD) on behalf of the Georgia Learning Resource System (GLRS) (Not to exceed $564,000) ~ Updated 8.7.2025

Summary: Dr. Norman, C. Sauce, Chief of Student Services, Division of Student Services
Request: It is requested that the Board of Education approve the Memorandum of Agreement between the Georgia Department of Education and the DeKalb County School District on behalf of the Georgia Learning Resources System for an amount not to exceed $564,000. There is no financial impact to the District.
Why: Metro East GLRS provides direct support to six area school systems: DeKalb, Buford City, Decatur City, Fulton, Gwinnett, and Rockdale Counties. In these systems, Metro East GLRS provides support for parents of students with disabilities, teachers of students with disabilities, as well as students with disabilities. Metro East GLRS also provides in-kind ancillary services for the remainder of the Metro area: Cobb County Schools, Atlanta Public Schools, Clayton County Schools, Marietta City Schools, Douglas County Schools and Forsyth County Schools. Metro East GLRS works directly with the Directors and Executive Directors of Special Education to design and implement professional learning associated with any District improvement plan or Plan of Support, Coordinated Early Intervening Services (CEIS) and Corrective Action Plans (CAP) as initiated by the Georgia Department of Education. GLRS supports the design and implementation plans for ATSI schools in in the Metro Area. These services are in the form of planning, professional learning, seminars, coaching, and mentoring. In addition, Metro East GLRS maintains and operates the Materials Production Center (MPC) and Resource Library located in the DeKalb County Administrative and Instructional Complex (AIC).
Details: The Metro GLRS program is funded by the Georgia Department of Education, Division for Special Education Services and Supports and is operated in collaboration with Regional Educational Services Agencies (RESA's) or a local school district that serves as a fiscal agent. MEGLRS is funded entirely with federal discretionary funds made available by the Georgia Department of Education through the Individuals with Disabilities Education Improvement Act (IDEA).

Under this Agreement, GLRS will provide consistent, regional and state-wide opportunities for professional learning that include “train-the-trainer” sessions to support equitable opportunities in each Area. The GaDOE will inform the scope of work of GLRS based on the priorities for state-wide and region-level needs for professional development. Funding must be used solely for activities and deliverables that directly support the accomplishment of the organizations purposes, priorities, and expected outcomes during the contractual period.

Metro East GLRS is self-supporting, yet the benefits of proximity for DCSD are numerous. Metro East GLRS maintains, operates and funds The Materials Production Center (MPC), located within DeKalb County. The MPC houses all equipment and machinery necessary for teachers to prepare instructional materials for the classroom. Metro East GLRS also provides, at cost, any supplies required to produce instructional materials on site. In addition, this places the GLRS Resource Library within the District. This Resource Library contains not only books and materials but adaptive equipment for instructional use by Students with Disabilities (SWD). All material and equipment may be checked out by teachers of the SWD population. Though these facilities are open to all school districts served by the Metro East GLRS, the facility’s proximity to DeKalb County schools is advantageous. During the FY25 school year, 81% of the 2,800 patrons visiting the center were DeKalb County teachers, administrators and parents. During the FY25 school year, the staff of Metro East GLRS has conducted 214 professional learning and technical assistance activities engaging 4,300 individuals from six metro districts. Thirty-five percent (35%) of those participants were DCSD teachers, coaches, and administrators. In addition, MEGLRS has successfully implemented the Georgia New Teacher Provider Retention Program retaining 100% of the DeKalb County Completers.

The programs are funded by the Georgia Department of Education, Divisions for Special Education Services and Supports, and are operated in collaboration with Regional Educational Service Agencies (RESA’s) or a local school district that serves as a fiscal agent. MEGLRS is funded entirely with federal discretionary funds made available by the state through the Individuals with Disabilities Education Improvement Act (IDEA). There is an existing Memorandum of Agreement (MOA) between the Georgia Department of Education and DeKalb County School District (DCSD) in which DCSD serves as the fiscal agent for MEGLRS.

                                                          CONTRACT
     STATE OF GEORGIA

     COUNTY OF FULTON

     This contract (“Contract”) is made and entered into by and between the State Superintendent, on behalf of the
     Georgia Department of Education, hereinafter referred to as the “GaDOE” or “Department” and DEKALB
     COUNTY BOARD OF EDUCATION, located at: 3770 N DECATUR ROAD, DECATUR, GA 30032, hereinafter
     referred to as the “Contractor” or “RESA”.

     Whereas, the Department has identified a statewide need to provide regional training, coaching, and support for
     the implementation of evidence-based practices to support children with disabilities through on-going professional
     learning; and,

     Whereas the Contractor has indicated that it is willing, qualified, and experienced to conduct or provide such
     services for the Department.


     NOW, THEREFORE, in consideration of the benefits and duties contained herein, the parties hereby agree as
     follows:

1.    Scope of Services: Contractor will provide professional learning and technical assistance to all publicly
      recognized Local Educational Agencies (LEAs) and Georgia Network for Educational and Therapeutic Supports
      (GNETS) within the identified region. The project deliverables are described in “Attachment A – Deliverables”,
      which is attached hereto and incorporated herein by this reference as “Attachment A”.
               a. Funding must be used solely for activities and deliverables that directly support the accomplishment
                    of the project purposes, priorities, and expected outcomes during the contractual period.
               b. All expenditures must be consistent with applicable state and federal laws, regulations, and
                    guidance. Allowable expenditures may include the costs associated with employing appropriate
                    staff for administering the project, office materials and supplies, and other relevant costs associated
                    with the administration of this project, including travel reimbursement, consultant fees, printing, and
                    conference registration and fees, as approved by the Department. Funds may not be used for
                    unallowable expenditures as described in the Code of Federal Regulations (CFR) Part 200. The
                    Contractor will consult with Department regarding allowable costs.
               c. Contractor shall submit to the Department a copy of its written procedures governing the purchasing
                    of goods and services using federal funds with first quarter reimbursement invoice.
               d. Contractors will employee or contract with a primary contact person as outlined in State Board Rule
                    160-4-7-.16.
               e. The Contractor will not provide direct services to students.
               f. The Contractor must ensure that they maintain adequate and accessible physical facilities for the
                    GLRS project staff.
               g. Contractor must establish and implement procedures for objective evaluation of GLRS program
                    services, staff performance, and project effectiveness.
               h. Project staff will participate in Department sponsored meetings and conferences as requested by the
                    Department.
               i. Prior approval must be obtained from the Department for any out-of-state travel conducted by
                    project staff, fiscal agent staff, or consultants paid with project funds
               j. The Contractor may charge administrative costs, not to exceed 10%, as appropriate for the
                    operations of this particular contract. This is intended to be all-inclusive of typical administrative
                    and overhead costs, including but not limited to rental or office space, costs for bookkeeping and
                    accounting services, and utilities. The general allocations used for administrative costs must be
                    clearly communicated in the budget.

          k.   Contractor will submit the budget proposal to Department.

2. Reporting Requirements: The Contractor will ensure GLRS staff enter data regarding the implementation of
project activities and deliverables into the GLRS Project Tracking System each quarter and maintain all records
related to implementation of approved projects for up to 5 years, including fiscal documentation of expenditures.
Project and fiscal records will be made available to Department upon request. If project and fiscal records are not
made available to Department upon request, Contractor will be in breach and the Contract will be void.

3. Payment for Services: The method of compensation in this contract will be payments in an amount not to
exceed $564,000.00 to be paid to the Contractor. The deliverables and invoices will be submitted quarterly as
follows:
     a) Quarter 1: July1 ‐ September 30 Invoices Due by October 15
     b) Quarter 2: October 1‐December 30 Invoices Due by January 15
     c) Quarter 3: January 1 – March 30 Invoices Due by April 15
     d) Quarter 4: April 1 – June 30 Invoices Due by July 30

Payment is rendered upon submission of documented allowable disbursements, plus documentation of completion
of specific performance objectives. The Department shall have the right to withhold or deduct payments in the
event of nonperformance or if costs are determined not to be in accordance with the budget or Contract
requirements.
           a. Department agrees to reimburse the Contractor on a quarterly basis for reasonable expenses incurred
               based on the budget. Travel and subsistence expenses must be in accordance with the State of
               Georgia Travel Regulation located at: https://sao.georgia.gov/state-travel-policy
           b. Contractor shall maintain a record of the expenditures made and submit a detailed expenditure
               report using the contractor’s financial reporting system to Department along with each request for
               payment. The detailed expenditure report must include the following: 1) dollar amount of
               expenditure, date of expenditure, purpose of the expenditure, name of person or entity to which
               expenditure was made, and check number
           c. Department shall have the right to request additional supporting documentation to determine
               expenditure allowability.
           d. Department shall have the right to withhold or deduct payments in the event of failure to provide
               products, services, and expenditure documentation as agreed upon or lack of sufficient
               documentation.

4. Term of Contract: This Contract shall begin on July 1, 2025 or the date on which it is signed by both parties,
whichever is later, ("Effective Date") and shall end at midnight on June 30, 2026. In the event this Contract is signed
by the parties on different dates, the later date shall control. Milestone/Deliverable due dates occurring prior to the
Effective Date will be renegotiated and mutually agreed upon in writing by both parties prior to work starting under
this Contract. The Department will not make payment for any work performed prior to the Effective Date of this
Contract.

5. Renewal: The Department may, at its discretion and with the written consent of the Contractor, renew this
Contract up to four (4) additional one (1) year terms, plus the original term at the same prices, terms and conditions.

6. Relationship of the Parties: Contractor understands that it is an independent contractor and is not an employee,
agent, partner, or joint venturer of or with the Department. Contractor shall not be entitled to participate in any
vacation, medical or other fringe benefit or retirement program of the Department and shall not make claim of
entitlement to any such employee program or benefit. Contractor shall be solely responsible for the payment of
withholding taxes, FICA, State of Georgia, and other such tax deductions on any payments or earnings made, and
the Department shall withhold none such payroll tax deduction for any payments due. Contractor agrees to
indemnify and reimburse the Department from any claim or assessment by any taxing authority arising from this
paragraph.

7. Equipment and Supplies: Any equipment, supplies, or materials used in the performance of this Contract which
are not explicitly required under this Contract to be provided by the Department, shall be at the expense of the
Contractor.

8. Compliance with Statutes and Regulations: The Contractor shall perform its obligations hereunder in
accordance with all applicable federal and state laws and regulations now or hereafter in effect.

9. Confidentiality: The Contractor agrees to abide by all state and federal laws, rules and regulations, and
Department policy respecting confidentiality of records, including but not limited to student records, and divulge no
information concerning individual records to any unauthorized person.

10. Civil Rights Compliance: The Contractor agrees to comply with the following civil rights statutes: Americans
with Disabilities Act (42 U.S.C. 12101, et seq.); Title VI of the Civil Rights Act of 1964 (42 U.S.C. 2000d through
2000d-4); Title IX of the Education Amendments of 1972 (20 U.S.C. 1681-1683); Section 504 of the Rehabilitation
Act of 1973 (29 U.S.C. 794); and the Age Discrimination Act (42 U.S.C. 6101, et seq.). Neither party will
discriminate against any Department or Contractor employee or applicant for employment, or against any applicant
for enrollment for a course of study, or against any student in his or her course of study or training related to this
Contract because of race, color, gender, national origin, age, or disability.

11. Drug-Free Workplace: In accordance with the federal Drug-Free and Communities Act and Amendment of
1989, the Georgia Drug-Free Workplace Act of 1988 (O.C.G.A. Section 50-24-1, et. seq.) and State Board of
Education Policy GAM, the Contractor declares that the unlawful manufacture, distribution, dispensing, possession,
or use of a controlled substance, marijuana or dangerous drug is prohibited at Contractor locations at which
individuals are directly engaged in the performance of work pursuant to this Contract. In addition, Policy GAM
prohibits the unlawful possession, use, manufacture, distribution or sale of alcohol in the workplace.

12.   Trading with State Employees and Agency Employees, Conflicts of Interest, and Nepotism:
         a. Agency shall take all reasonable steps to avoid any and all conflicts of interest, including the appearance
           of a conflict of interest. In enforcing this provision, it is important to keep in mind that any appearance
           of impropriety should be avoided.

         b. As it relates to the performance of services described under this Contract, Agency shall not employ,
           contract with, or make payment to:
               i. An employee of the Department;
              ii. An employee of Agency (with the exception of normal salary payments);
             iii. A business entity in which a Department or Agency employee maintains an ownership interest of
                  20% or more; and
             iv. A Department or Agency employee’s family member without obtaining prior written approval
                  from the Department’s Division of Human Resources and the Superintendent of Schools or the
                  Superintendent’s designee. For purposes of this Contract, a Department or Agency employee’s
                  family member means a Department or Agency employee's father, mother, son, daughter, brother,
                  sister, uncle, aunt, first cousin, nephew, niece, husband, wife, father-in-law, mother-in-law, son-
                  in-law, daughter-in-law, brother-in-law, sister-in-law, stepfather, stepmother, stepson,
                  stepdaughter, stepbrother, stepsister, half-brother, half-sister, spouse of an in-law, grandparent, or
                  a member of his/her household.

        c. The Agency hereby certifies that this Contract does not and will not violate the provisions of Official
           Code of Georgia Annotated § 45-10-20, et. seq., which prohibit and regulate certain transactions between
           certain state officials, employees, and the State of Georgia.

         d. No employee of Agency providing services under this Contract shall supervise or be supervised by a
            family member.

         e. Agency warrants that no official or staff member of the Department shall personally share in the proceeds
            from this Contract or derive any personal benefit there from.

13. Conflicts of Interest: Contractor shall take all reasonable steps to avoid any and all conflicts of interest,
including the appearance of a conflict of interest.

14. Recordkeeping requirements: The Contractor agrees to maintain full and complete records which pertain to
this Contract for a period of three (3) years from the date of final payment under this Contract, or until all litigation,
claims, or audit findings involving the records have been resolved if such claim or audit is started before the
expiration date of the three-year period.

15. Access to records: The Department or any duly authorized representatives, shall have access to any books,
documents, papers, and records of the Contractor which are directly pertinent to this Contract at any time during
normal business hours for the term of this Contract and/or three (3) years thereafter for the purpose of making an
audit, examination, excerpts, and transcriptions.

16. Copyright: Any papers, reports, graphs, forms, guides, evaluations, spreadsheets, databases and other material
which are produced under or as a result of this Contract are to be deemed a "work made for hire", as such term is
defined in the Copyright laws of the United States. As a "work made for hire", all copyright interests in said works
will vest in the Department upon creation of the copyrightable work. If any papers, reports, graphs, forms, guides,
evaluations, spreadsheets, databases, or other material which produced under or as a result of this Contract are
deemed by law not to be "work made for hire", any copyright interests of the Contractor are hereby assigned
completely and solely to the Department. The Contractor shall ensure that all papers, reports, graphs, forms, guides,
evaluations, spreadsheets, databases and other material which are produced under or as a result of this Contract are
clearly marked with a copyright notation indicating the Department as the sole copyright owner. All rights and
ownership of materials produced under or as a result of this Contract shall become the property of the Department
upon payment of consideration specified herein. All papers, reports, graphs, forms, guides, evaluations,
spreadsheets, databases and other material prepared or prepared by the Contractor under the terms of this Contract
shall be delivered to, become and remain the property of the Department upon termination or completion of this
Contract.

17. Open Records Act: The Contractor understands that the Georgia Open Records Act ("ORA"), (O.C.G.A. Section
50-18-70, et. seq.) is applicable to the services provided pursuant to this Contract and agrees to comply with all
provisions of the ORA and to make records pertaining to the performance of services or functions under this Contract
available for public inspection upon request, unless otherwise exempt under other provisions of the ORA.

18. Limitation of Liability: Each party will conduct its own activities under this Contract at its own responsibility.
The sole provision for any tort attributable to either party shall be the Georgia Tort Claims Act. Neither party shall
indemnify the other in Contract against complaints by third parties.

19. Non-profit Contractor: The Contractor agrees to comply with the provisions of the Official Code of Georgia
Annotated (OCGA), Sections 50-20-2 through 50-20-8, as applicable. In accordance with this, the Contractor shall
submit to the Department and the state auditor, any reporting packages or financial statements required by these
code sections within 180 days after the close of the Contractor's fiscal year, unless waived by the state auditor. The
non-profit Contractor understands the auditing and reporting requirements as set forth in Title 50, Chapter 20 of the
Official Code of Georgia. Nonprofits that expend $750,000 or more in Federal funds during their fiscal year agree
to have a single entity-wide audit conducted for that year in accordance with the provisions of the Single Audit Act
Amendments of 1996 (Public Law 104-156) and their implementing regulation, 2 CFR part 200, subpart F.
Nonprofits expending $100,000 or more in State funds during their fiscal year agree to have an entity-wide audit
conducted for that year in accordance with Generally Accepted Auditing Standards issued by the American Institute
of Certified Public Accountants. Nonprofits expending at least $25,000 but less than $100,000 in State funds during
their fiscal year agree to prepare unaudited entity-wide financial statements for that year. The president or person
responsible for financial statements must make assertions concerning the basis of financial statement preparation as
described in O.C.G.A Section 50-20-3. The financial statement reporting package shall include a “Schedule of State
Awards Expended” which reflects revenues, expenditures, and amounts owed to or due from each state organization
by state program and contract number. Amounts listed for each program should include state or federal funds, or
both, which pass through state organizations to the nonprofit organization. The nonprofit organization further agrees
to submit the required audit or financial statements to the Georgia Department of Audits and each contracting state
organization, within 180 days after the close of the non-profit’s fiscal year.

The nonprofit organization understands that according to the provision of Title 50, Chapter 20, Sections 4 and 6 of
the Official Code of Georgia, failure to comply with the above audit and financial reporting requirements could be
cause to suspend payments, to terminate this Contract, to require a refund or all monies received under this Contract
and to prohibit the nonprofit organization from receiving funds from any state organization for a period of twelve
(12) months from the date of notification.

20. Inability to perform: In the event that either party is unable to fulfill the terms of the Contract due to
circumstances beyond their control, including but not limited to, fire, flood, or other acts of nature, or by war or
attack by the public enemy or by other act of God, then this Contract shall be terminated by notice of the conditions
causing such inability to perform being given to the other party. At such time both parties shall be entitled to the
benefits received only to the extent that they have met the terms of the Contract.

21. Termination: This Contract may be terminated by either party by providing written notice thirty (30) days prior
to the termination of services. Upon termination by the Department, the Department agrees to pay the Contractor
for costs incurred prior to the date of termination. Upon termination under this paragraph or other provisions of this
Contract, the Contractor agrees to deliver all materials, data, reports, and other information collected or created by
the Contractor or its subcontractors under this Contract prior to the date of termination.

22. Funding: Notwithstanding any other provision of this Contract, the parties hereto acknowledge that the Georgia
Department of Education may not lawfully pledge the State's credit. In the event that the Department does not
receive funds for this Contract or that the source of payment is insufficient with respect to the services and
deliverables under this Contract, the Contract shall terminate without further obligation of the Department as of that
moment. The determination by the Department of the events stated above shall be conclusive.

23. Publicity: Any publicity given to the services provided under this Contract, including but not limited to, notices,
information pamphlets, press releases, research, reports, signs, and similar public notices prepared by or for the
Contractor shall not be released prior to approval by the Department.

24. Assignment: This Contract shall not be assigned or transferred by the Contractor unless consented to in writing
by the Department.

25. Amendments in Writing: No modifications or alteration of this Contract will be valid or effective unless each
modification or alteration is made as an amendment to this Contract and signed by both parties.

26. Severability: If any provision of this Contract is held to be invalid, illegal, or unenforceable for any reason, the
validity, legality and enforceability of the remaining provisions of this Contract will not be adversely affected.

27. Choice of Law: This Contract shall be deemed to have been executed in Fulton County, Georgia, and all
questions of interpretation and construction shall be governed by the laws of the State of Georgia.

28. Vendor Lobbyist Certification. Contractor hereby certifies that, as of the effective date of this Contract, any
lobbyist employed by Contractor has registered with the Georgia State Ethics Commission and complied with the
requirements of the Executive Order dated October 1, 2003 (“Providing for the Registration and Disclosure of

Lobbyists Employed or Retained by Vendors to State Agencies”). This Contract may be declared void at the
Department’s sole discretion, if is determined that Contractor has made false certification hereinabove or has
violated such certification by failure to carry out the requirements of such Executive Order.

29. Debarred, Suspended, and Ineligible Status. Contractor certifies that the Contractor and/or any of its
subcontractors have not been debarred, suspended, or declared ineligible by any agency of the State of Georgia or
as defined in the Federal Acquisition Regulation (FAR) 48 C.F.R. Ch.1 Subpart 9.4. Contractor will immediately
notify the Department if Contractor is debarred by the State or placed on the Consolidated List of Debarred,
Suspended, and Ineligible Contractors by a federal entity.

30. Use of Third Parties. Except as may be expressly agreed to in writing by the Department, Contractor shall not
subcontract, assign, delegate or otherwise permit anyone other than Contractor or Contractor's personnel to perform
any of Contractor's obligations under this Contract or any of the work subsequently assigned under this Contract.
No subcontract which Contractor enters into with respect to performance of obligations or work assigned under the
Contract shall in any way relieve Contractor of any responsibility, obligation or liability under this Contract and for
the acts and omissions of all subcontractors, agents, and employees. All restrictions, obligations and responsibilities
of the Contractor under the Contract shall also apply to the subcontractors. Any contract with a subcontractor must
also preserve the rights of the Department. The Department shall have the right to request the removal of a
subcontractor from the Contract for good cause.

31. Third Party Beneficiaries. There are no third-party beneficiaries to the Contract. The Contract is intended only
to benefit the Georgia Department of Education and the Contractor.

32. Notices: Any notice to be made by either party to the other shall be sufficiently made if delivered in hand, or
three (3) calendar days after posting, if sent by US Post. Such notices shall be provided to a party hereto at the
address set forth in the first paragraph or such other address that has been designated in writing to the other party
for purposes of legal notice.

33. Multiple Counterparts: This Contract may be executed in counterparts which, when taken together, will
constitute one Contract. Copies of this Contract will be equally binding as originals and faxed or scanned and
emailed counterpart signatures will be sufficient to evidence execution.


         IN WITNESS WHEREOF, the parties state and affirm that they are duly authorized to bind the
respected entities designated below as of the day and year indicated.

Regionally Identified Priorities
Regional priorities require prior approval from GaDOE for the use of contract funds. Non-approved activities will not be reimbursed.
Priorities must align to SPP APR indicators and directly support improved outcomes in these areas in general supervision activities OR student outcomes using evidence-based
practices.
Purpose. To provide each GLRS with the flexibility to establish regionally identified priorities using data from surveys, interviews, needs assessments, etc.
Evidence: Implementation deliverables may include agendas, evidence of LEA implementation, training tools/resources, handouts, modules, number of participating
schools/districts, etc.
Please Note: Some of the items below are included in the state-identified priority list. These items can be included again under regional priorities, but it is the expectation that
