Summary: Presented by: Dr. Kermit Belcher, Chief Information Officer, Division of Information and Instructional Technology
Request: It is recommended that the DeKalb County Board of Education approve the second-year renewal of Disaster Recovery as a Service (DRaaS) pursuant to RFP 24-577, awarded to MGT (formerly Layer 3), in an amount not to exceed $365,274.

This is year 3 of a 5-year agreement.
Why: This renewal supports the Division of Information and Instructional Technology (DIIT) in maintaining the continuity of district technology operations by safeguarding the availability of student, business, and operational systems. DRaaS enables the ability to switch operations to the cloud environment to maintain and restore services in the event of an outage or regional disaster, ensuring uninterrupted instruction, communication, financial processing, safety systems, and district administration.
Details: RFP 24-577 was issued in December 2023, evaluated in January 2024, and awarded to MGT (formerly Layer 3). The agreement is a five-year award requiring annual Board approval.

Greetings Mr. Bailey:

The DeKalb County School District (“DCSD”) desires to renew the award of RFP 24-577 Disaster Recovery as a Service (DRaaS),
for one (1) year on the same terms, conditions, and pricing as set forth in the Agreement between DCSD and MGT Impact
Solutions, LLC (formerly Layer 3 Communications, LLC). The purpose of this letter is to obtain MGT Impact Solutions, LLC’s
(formerly Layer 3 Communications, LLC) acceptance of DCSD’s offer to renew the Agreement.

The renewal is subject to the DeKalb County Board of Education’s (“Board”) approval and will be effective February 24, 2026,
through February 23, 2027. Of course, we will notify you once the Board has approved the renewal. DCSD appreciates MGT
Impact Solutions, LLC’s (formerly Layer 3 Communications, LLC) consideration of this offer to renew the award of RFP 24-577.

If accepted, please submit a copy of your company’s proof of insurance reflecting the coverage(s) stated within the original
solicitation document, sign the acceptance below, and email both documents no later than Wednesday, December 10, 2025,
to Latrice Brown at Latrice_Brown@dekalbschoolsga.org. Insurance policy or policies must be maintained throughout the term
of this agreement. A copy of the insurance requirements is included.

MGT Impact Solutions, LLC (formerly Layer 3 Communications, LLC) understands that this acceptance is subject to the approval
of the DeKalb County Board of Education.
