Request: It is requested that the Board of Education approve Change Order No. 2 to The Winter Construction Company for a not-to-exceed amount of $3,411,283 for DeKalb County School District requesting rescindment of contract termination.
Why: To approve the execution of Change Order No. 2 for the Renovations at Green Forrest Drive Facility for the DeKalb County School District rescindment of contract termination in the amount of $3,411,283.00.
Details: On December 13, 2021, the Board of Education approved a firm fixed price contract for The Winter Construction Company to perform design and construction work as outlined by the proposal documents. Change Order No. 1 was executed to terminate the contract.







This Change Order No. 2 rescinds the contract termination, allowing The Winter Construction Company to continue work for the adjusted end-use of the facility.
Financial impact: The total amount of $3,411,283 for The Winter Construction Company Change Order No. 2 will remain allocated in the general contractor cost code (SP5FACCON.38035.GENCONTR) under the voter-approved E-SPLOST V program.

                                 CHRONOLOGY OF THE AGENDA ITEM

At its business meeting on December 13, 2021, the DeKalb Board of Education approved the award of
RFP No. 22-752-011 to The Winter Construction Company for design/build services for the renovations
at the Green Forrest Drive facility for the lump sum amount of $4,906,500. The intent of the project was
to renovate the former Rockbridge Elementary School to serve as a swing space for other schools to
inhabit temporarily during construction at the other school’s home facility. On March 23, 2022, a notice
to proceed/commence was issued for the start of design and construction with the substantial
completion to achieved on or before October 14, 2022.

During the design phase, it was determined that the Green Forrest Drive location did not offer enough
operational and instruction spaces to allow for the size of the schools with upcoming extensive
construction projects to relocate to the Green Forrest Drive facility. Additionally, plans were being
developed to allow portable classroom units to be located on the sites of the home schools with
upcoming extensive construction projects. Based on these factors, DCSD reviewed various options for
the use of the facility and requested The Winter Construction Company to prepare for alternate uses of
the facility.

In October of 2022, the determined use of the facility was still being reviewed and The Winter
Construction Company was asked to continue monitoring and protecting the site through the remainder
of the year. In June of 2023, DCSD prepared a notice of intent to terminate the contract for convenience.
On August 22, 2023, The Winter Construction Company acknowledged the notice and provided delivery
coordination of purchased materials. Upon receipt of the materials, a deductive change order was
prepared resulting in the execution of Change Order No. 1 on November 12, 2023.

During the routing of signatures for Change Order No. 1, DCSD determined that the Green Forrest Drive
Facility could serve as a multipurpose operational facility. Because The Winter Construction Company
was familiar with the site and project and the DCSD project manager had not yet received the executed
change order, both parties agreed to the rescindment of the contract termination on November 3, 2023.

The approval of this Change Order No. 2 is for the rescindment of the contract termination. The approval
of this Change Order No. 2 will provide needed repairs for a multipurpose operational facility at the
Green Forrest Drive Facility location.
