1. APPROVAL OF AN ITEM(S) FROM EXECUTIVE SESSION

a. RFQ 23-01 District-wide Legal Services (Year 1 of 5)
Why: Public school systems require sound legal advice on various issues. Therefore, it is prudent for the Board to engage a law firm they determine to best represent its interests. The engagement of Hall Booth will enable the District to continue the efficient provision of legal services for general and SPLOST matters.

Request: (Part 1)
It is requested that that the Board of Education (“Board”) approve a contract with Hall Booth Smith, P.C. (“Hall Booth”) as General and SPLOST Counsel. The term of this annual agreement shall commence upon approval by the Board of Education. This is the first of five one-year optional renewals.

(Part 2)
It is simultaneously requested that the Board terminate its engagement with Gregory, Doyle, Calhoun & Rogers, LLC (“Gregory Doyle”) as General Counsel and SPLOST Counsel. The Board requests that Gregory Doyle cooperate in the transition between the law firms, consistent with the best interests of the DeKalb County School District (“District”) and applicable ethical rules.
Details: This item is presented for consideration pursuant to the District’s Request for Qualifications (“RFQ”) 23-01, entitled District Wide Legal Services, dated October 27, 2022. RFQ 23-01 provides that the contract for legal services will contain four (4) one-year extension options. The contract will exclude services currently provided by the law firm of Swift, Currie, McGee and Hiers, LLP (“Swift Currie”). Swift Currie is the District’s Workers’ Compensation Counsel and General Liability Counsel.

RFQ 23-01 was posted on IonWave and the Georgia Procurement Registry on October 27, 2022. This RFQ was advertised in the Champion Newspaper on October 27, 2022, and November 3, 2022. Seven law firms responded to RFQ 23-01.
Financial impact: The account code from which the expense will be paid is 100.2300.530002.00011.7080.9990.8010.080.0000. Because of the inevitable overlap of services in the transition from Gregory Doyle to Hall Booth, the District may incur additional expenses not accounted for in the 2022-2023 General Litigation Budget. Due to the status, complexity, or volume of existing pending litigation, there could be an additional impact on the District’s budget.
